The Services are intended for users who are at least 13 years old. Minors must have permission from and be directly supervised by their parent or legal guardian. If you are a minor, your parent or guardian must review and agree to these Terms before you use the Services.

1. Our Services

The information provided through the Services is not intended for distribution to or use by anyone in a jurisdiction where doing so would violate applicable laws or regulations or subject Zenotix AI LLC to additional registration requirements.

People who access the Services from other locations do so on their own initiative and are responsible for complying with applicable local laws.

The Services are not specifically designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Management Act (FISMA). If your use of the Services would be subject to such regulations, you may not use the Services.

2. Intellectual Property Rights

Our Intellectual Property

Zenotix AI LLC owns or licenses the intellectual property rights in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos.

Our Content and Marks are protected by copyright, trademark, and other intellectual property laws in the United States and other countries.

Your Submissions and Contributions

If you send us questions, comments, suggestions, ideas, feedback, or other information about the Services (“Submissions”), you agree that Zenotix AI LLC may use and distribute those Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

The Services may also allow you to create, submit, post, display, transmit, publish, distribute, or broadcast content such as text, writing, video, audio, photographs, music, graphics, comments, reviews, ratings, suggestions, personal information, or other materials (“Contributions”).

Public Contributions may be visible to other users and potentially through third-party websites.

By posting Contributions, you grant Zenotix AI LLC a worldwide, royalty-free, perpetual, non-exclusive, transferable, sublicensable license to use, copy, reproduce, distribute, publish, broadcast, store, display, translate, modify, excerpt, and otherwise use your Contributions for lawful purposes, including commercial and advertising purposes.

This may include your name, company name, trademarks, service marks, trade names, logos, image, and voice that you provide.

You are responsible for everything you submit or upload. You agree that your Submissions and Contributions will not:

• Be illegal, harmful, defamatory, obscene, threatening, abusive, discriminatory, misleading, or fraudulent.
• Violate another person’s intellectual property rights.
• Violate applicable laws.
• Contain confidential information that you do not have permission to disclose.

You represent that you have all rights and permissions necessary to provide your Contributions.

You are responsible for losses resulting from your violation of these requirements, applicable laws, or third-party intellectual property rights.

Zenotix AI LLC may remove, edit, restrict, or disable Contributions that it reasonably believes violate these Terms or are harmful.

3. User Representations

By using the Services, you represent and warrant that:

1. You have the legal capacity to agree to these Terms.
2. You will comply with these Terms.
3. You are not under 13 years old.
4. If you are a minor where you live, you have obtained appropriate parental permission.
5. You will not access the Services through unauthorized bots, scripts, or other automated means.
6. You will not use the Services for illegal or unauthorized purposes.
7. Your use of the Services will comply with applicable laws and regulations.

If you provide information that is false, inaccurate, incomplete, or outdated, we may suspend or terminate your account and refuse current or future access to the Services.

4. Purchases and Payment

You agree to provide accurate and current purchase and account information.

You agree to promptly update information such as your email address, payment method, and payment-card expiration date when necessary.

Sales tax may be added where required.

You agree to pay the prices applicable when you make your purchase and authorize us to charge your selected payment method.

We reserve the right to correct pricing errors, even after an order has been submitted or payment has been received.

We may refuse, limit, or cancel orders at our discretion, including orders that appear to be made by dealers, resellers, or distributors.

5. Subscriptions

Billing and Renewal

Subscriptions continue and automatically renew unless canceled.

You authorize Zenotix AI LLC to charge your payment method on a recurring basis until you cancel the applicable subscription.

The standard billing cycle is monthly.

Cancellation

All purchases are non-refundable.

You may cancel your subscription at any time by contacting us.

Cancellation becomes effective at the end of the current paid billing term.

Fee Changes

We may change subscription fees from time to time and will communicate price changes as required by applicable law.

6. Prohibited Activities

You may only use the Services for their intended purposes.

You agree not to:

• Systematically collect data from the Services to create databases, directories, or compilations without written permission.
• Trick, defraud, or mislead Zenotix AI LLC or other users.
• Attempt to obtain sensitive account information such as passwords.
• Circumvent or disable security features.
• Damage or interfere with the Services.
• Use information obtained through the Services to harass, abuse, or harm another person.
• Misuse customer support services.
• Submit false abuse or misconduct reports.
• Use the Services in violation of applicable laws.
• Create unauthorized frames or links to the Services.
• Upload viruses, Trojan horses, malware, or other harmful material.
• Spam or interfere with other users’ access to the Services.
• Use unauthorized scripts, bots, scrapers, spiders, robots, or data-mining tools.
• Remove copyright or proprietary notices.
• Impersonate another person or user.
• Upload spyware or other unauthorized information-collection mechanisms.
• Interfere with or place an unreasonable burden on the Services or connected networks.
• Harass, intimidate, annoy, or threaten Zenotix AI employees or agents.
• Bypass access restrictions.
• Copy or adapt the Services’ software or code.
• Reverse engineer, decompile, or disassemble the Services except where permitted by applicable law.
• Use buying or purchasing agents to make purchases through the Services.
• Collect usernames or email addresses for unauthorized unsolicited communications.
• Use the Services to compete with Zenotix AI LLC or for unauthorized revenue-generating activities.
• Sell or transfer your profile.

7. User Generated Contributions

The Services may allow users to create, submit, post, display, transmit, publish, distribute, or broadcast Contributions.

Contributions may be visible to other users or through third-party websites and may therefore be treated as non-confidential.

By submitting Contributions, you represent that:

• You own them or have the necessary rights and licenses.
• Their use will not violate another party’s intellectual property rights.
• You have appropriate consent from identifiable individuals appearing in the Contributions.
• They are accurate and not misleading.
• They are not unauthorized advertising, spam, pyramid schemes, chain letters, or mass solicitations.
• They are not obscene, violent, abusive, defamatory, threatening, or otherwise objectionable.
• They do not violate applicable laws.
• They do not violate privacy or publicity rights.
• They do not contain prohibited material involving minors.
• They do not contain offensive discriminatory content.
• They do not violate these Terms.

Violation of these requirements may result in suspension or termination of your access to the Services.

8. Contribution License

By posting Contributions, you grant Zenotix AI LLC a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid license to host, use, copy, reproduce, disclose, publish, broadcast, store, display, translate, modify, distribute, and otherwise use your Contributions for lawful purposes, including commercial and advertising purposes.

This license may include your name, company name, franchise name, trademarks, service marks, trade names, logos, images, and voice.

You retain ownership of your Contributions and associated intellectual property rights.

Zenotix AI LLC does not claim ownership of your Contributions.

You remain solely responsible for your Contributions.

We may edit, redact, re-categorize, pre-screen, or delete Contributions at our discretion.

9. Guidelines for Reviews

If the Services allow you to submit reviews or ratings:

• You should have firsthand experience with the person or entity being reviewed.
• Reviews must not contain abusive, hateful, racist, or offensive language.
• Reviews must not contain discriminatory references.
• Reviews must not promote illegal activity.
• Competitors should not post negative reviews about competitors.
• Reviews must not make unsupported legal conclusions.
• Reviews must not contain false or misleading statements.
• Users may not organize campaigns encouraging others to post reviews.

Zenotix AI LLC may accept, reject, or remove reviews at its discretion.

Reviews do not necessarily represent Zenotix AI LLC’s opinions.

Zenotix AI LLC is not responsible for claims or losses resulting from reviews.

By posting a review, you grant Zenotix AI LLC a worldwide, royalty-free license to reproduce, modify, translate, transmit, display, perform, and distribute the review content.

10. Third-Party Websites and Content

The Services may contain links to third-party websites and third-party content.

Zenotix AI LLC does not control or guarantee the accuracy, reliability, completeness, or suitability of third-party websites or content.

Accessing third-party websites is done at your own risk.

Third-party websites have their own terms and privacy policies, which you should review.

Zenotix AI LLC does not endorse third-party products or services simply because they are linked through the Services.

Purchases made through third-party websites are between you and the applicable third party.

11. Advertisers

Zenotix AI LLC may allow advertisers to display advertisements in certain areas of the Services.

Zenotix AI LLC provides advertising space and does not necessarily have another relationship with advertisers.

12. Services Management

We reserve the right, but not the obligation, to:

• Monitor the Services for violations.
• Take appropriate legal action against violations.
• Restrict or disable Contributions.
• Remove files or content that are excessively large or burdensome to our systems.
• Manage the Services to protect our rights, property, and proper operation of the Services.

13. Privacy Policy

By using the Services, you agree to our Privacy Policy, which is incorporated into these Terms.

The Services are hosted in the United States.

If you access the Services from another region with different data-protection laws, you consent to the transfer and processing of your data in the United States to the extent permitted by applicable law.

We do not knowingly accept, request, or solicit personal information from children under 13.

If we learn that a child under 13 has provided personal information without required parental consent, we will delete that information as reasonably practical.

15. Term and Termination

These Terms remain effective while you use the Services.

Zenotix AI LLC may deny or restrict access to the Services at its discretion, including when a user violates these Terms or applicable laws.

We may terminate or suspend your account or remove content you posted.

If your account is terminated or suspended, you may not create another account using a false, borrowed, or third-party identity to bypass the termination.

We may take appropriate legal action where necessary.

16. Modifications and Interruptions

We may change, modify, remove, suspend, or discontinue portions of the Services at any time.

We may also change pricing or other features.

We are not responsible for losses caused by modifications, interruptions, delays, maintenance, technical problems, or discontinuation of the Services.

We do not guarantee that the Services will always be available, uninterrupted, error-free, or free from technical problems.

17. Governing Law

These Legal Terms and your use of the Services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

18. Dispute Resolution

Informal Negotiations

Before starting arbitration, the parties agree to attempt to resolve disputes informally for at least 30 days, except for disputes specifically excluded below.

Informal negotiations begin when one party provides written notice of the dispute to the other party.

Binding Arbitration

If a dispute cannot be resolved through informal negotiations, it will generally be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), where applicable.

By agreeing to arbitration, you understand that you may be giving up the right to resolve certain disputes in court or before a jury.

Arbitration may take place in person, by telephone, online, or through written submissions.

Unless otherwise required by applicable law or AAA rules, arbitration will take place in Wyoming.

The arbitrator will issue a written decision.

Court Proceedings

Where a dispute is permitted to proceed in court, it will generally be brought in state or federal courts located in Wyoming, United States.

The parties consent to jurisdiction and venue in those courts.

Time Limit for Claims

To the extent permitted by applicable law, any dispute related to the Services must be brought within one year after the cause of action arose.

Class Actions

To the fullest extent permitted by law, arbitration will be conducted individually.

Disputes may not be combined with other proceedings or brought as class actions or representative actions.

Exceptions

The arbitration requirements do not apply to disputes concerning:

• Intellectual property rights.
• Theft, piracy, privacy violations, or unauthorized use.
• Requests for injunctive relief.

19. Corrections

The Services may contain typographical errors, inaccuracies, or omissions involving descriptions, pricing, availability, or other information.

We do not guarantee that information provided through the Services is accurate, complete, current, or error-free.

We are not responsible for:

• Errors or inaccuracies.
• Personal injury or property damage resulting from use of the Services.
• Unauthorized access to our servers or stored information.
• Interruptions or cessation of transmissions.
• Viruses, malware, or similar harmful material.
• Errors or omissions in content.
• Losses resulting from content made available through the Services.

We do not guarantee or assume responsibility for third-party products or services advertised or linked through the Services.

21. Limitations of Liability

To the fullest extent permitted by law, Zenotix AI LLC and its directors, employees, and agents will not be liable for indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of the Services.

Our total liability for any claim will be limited to the lesser of:

(a) the amount you paid to Zenotix AI LLC during the six-month period before the cause of action arose; or (b) $10,000 USD.

Some laws may not allow certain limitations. Where those laws apply, the applicable limitations will apply only to the extent permitted by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless Zenotix AI LLC, its subsidiaries, affiliates, officers, agents, partners, and employees from claims, losses, damages, liabilities, and reasonable legal expenses arising from:

1. Your Contributions.
2. Your use of the Services.
3. Your violation of these Terms.
4. Your breach of your representations or warranties.
5. Your violation of another party’s rights.
6. Harmful acts toward another user through the Services.

Zenotix AI LLC may assume control of the defense of a claim for which you are required to provide indemnification, and you agree to cooperate with that defense.

23. User Data

We may maintain certain data that you transmit to the Services for purposes of operating and managing the Services and information related to your use of the Services.

Although we perform routine backups, you are responsible for the data you transmit or activities you undertake through the Services.

To the fullest extent permitted by law, Zenotix AI LLC is not responsible for loss or corruption of your data.

24. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications.

You consent to receiving communications electronically.

You agree that electronic agreements, notices, disclosures, contracts, orders, signatures, and transaction records satisfy applicable requirements for written communications to the extent permitted by law.

You agree to the use of electronic signatures and electronic delivery of notices, policies, and transaction records.

By opting into a Zenotix AI text messaging program, you consent to receiving SMS messages at the mobile number you provide.

Messages may include marketing communications.

You may receive a confirmation message after opting out.

If you later want to rejoin, you may sign up again.

Message and Data Rates

Message and data rates may apply.

Rates depend on your mobile carrier and plan.

Carriers are not responsible for delayed or undelivered messages.

These Legal Terms and applicable policies or operating rules posted through the Services constitute the entire agreement between you and Zenotix AI LLC concerning the Services.

Failure to enforce any provision does not waive our right to enforce it later.

These Terms operate to the fullest extent permitted by law.

Zenotix AI LLC may assign its rights and obligations to another party.

We are not responsible for losses, delays, damages, or failures caused by circumstances beyond our reasonable control.

If any provision is determined to be unlawful, void, or unenforceable, that provision will be treated as severable and the remaining provisions will continue in effect.

These Terms do not create a joint venture, partnership, employment relationship, or agency relationship between you and Zenotix AI LLC.

You agree that these Terms will not be interpreted against Zenotix AI LLC merely because Zenotix AI LLC drafted them.

You waive defenses based on the electronic form of these Terms or the lack of physical signatures to the extent permitted by law.
